§ 1. Legal Compliance Requirements

§ 2. Prohibited Activities and Conduct

You expressly agree not to:

• 2.2 Attempt to gain unauthorized access to our systems, networks, or data
• 2.3 Transmit any viruses, malware, or other malicious code through our services
• 2.4 Harass, threaten, or otherwise harm other users or our personnel
• 2.5 Interfere with or disrupt the integrity or performance of our services
• 2.6 Reproduce, distribute, or create derivative works from our proprietary content without authorization
• 2.7 Misrepresent your identity or affiliation with any person or organization

§ 3. Content Guidelines and Restrictions

When providing content or information to us:

• 3.1 You warrant that you own or have the necessary rights to share such content
• 3.2 Content must not infringe upon the intellectual property rights of any third party
• 3.3 You are responsible for maintaining appropriate backups of your content
• 3.4 Content must comply with all applicable laws, including privacy and data protection regulations

§ 4. Indemnification Obligations

You agree to indemnify, defend, and hold harmless Legal Shield, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or in any way connected with your breach of these Terms and Conditions, your violation of any law or the rights of any third party, or your use of our services.

§ 10. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising out of or relating to these Terms and Conditions or your use of our services shall be brought exclusively in the federal or state courts located in New York County, New York. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

§ 11. Dispute Resolution Procedures

In the event of any dispute, claim, or controversy arising out of or relating to these Terms and Conditions:

• 11.1 The parties agree to first attempt to resolve the dispute through good faith negotiations
• 11.2 If negotiations fail, the parties may agree to mediation before a mutually acceptable mediator
• 11.3 Each party shall bear its own costs in any dispute resolution proceedings
• 11.4 Nothing in this section prevents either party from seeking injunctive or equitable relief in court when necessary

§ 12. Class Action Waiver

To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Legal Shield.

§ 13. Severability Clause

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed from these Terms and Conditions. The remaining provisions shall continue in full force and effect.

§ 14. Terms Modification Policy

We reserve the right to modify these Terms and Conditions at any time. When we make changes:

• 14.1 We will update the "Last updated" date at the top of this page
• 14.2 Material changes will be communicated through prominent website notices
• 14.3 Your continued use after changes are posted constitutes acceptance
• 14.4 If you disagree with modifications, you should discontinue use of our services

§ 15. Assignment and Transfer

You may not assign or transfer your rights or obligations under these Terms and Conditions without our prior written consent. We may assign or transfer our rights and obligations without restriction. Any attempted assignment in violation of this section shall be null and void.

§ 16. Waiver

No waiver of any term or condition of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

§ 17. Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any specific engagement agreements, constitute the entire agreement between you and Legal Shield concerning your use of our services. These terms supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and Legal Shield.

§ 18. Survival

Provisions of these Terms and Conditions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability.
